This Consignment Agreement (the “Agreement”) is made this _____ day of , 2023(the “Effective Date”), by and between Consignments by Caryn, located at Richmond Hill, Ontario (the “Consignee”), and ________________, located at _________________ (the “Consignor”).

1. PRODUCT: The Consignor hereby agrees to consign to the Consignee, who agrees to take on consignment, those items (the “Product”) listed in Exhibit A attached hereto.

2. CONSIGNMENT: Consignor grants an exclusive right to Consignee to display and sell the products listed on Exhibit A for a period of 60 days from the Effective Date. If the product remains unsold after 60 days, the Consignor has 2-3 weeks to reclaim the product or to renew the consignment agreement. If the product is not reclaimed within this period, ownership transfers to the Consignee. Renewal of this agreement requires the agreement of both parties.

3. PRICING: The Product shall be sold at or above the price listed in Exhibit A. Any decrease in the minimum price listed must be agreed to by both parties in writing. During the consignment period, the consignor has permission to market and sell the item(s) in whatever way shape or form that they deem appropriate so long as they do not sell the item for less than the agreed upon minimum amount.

4. PAYMENT: Consignee shall pay Consignor 75% of the final selling price for any Product sold (less appraisal fees if any). The final selling price this commission is based on is the total price of the item before tax, shipping and any other fees are added to it.

5. EARLY TERMINATION: If Consignor wishes to terminate this agreement before the end of the 60-day period, they may only do so upon payment of the Consignee’s commission based on the current list price or high bid and the reimbursement of any professional appraisal fees (if applicable).

6. INDEMNIFICATION: The Consignor represents and warrants that they are the legal owner of the Product, have the right to consign and sell the Product, and that the Product is free from any liens or encumbrances.

7. COMMUNICATION: The consignor and consignee agree that e-mail communications shall be an acceptable form of written communication for the purposes of modifications to this agreement (such as reducing the selling price or renewing for an additional 60 days).

7. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.

8. ENTIRE AGREEMENT: This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written.
